Terms of Service

These Terms of Service ("Terms") govern your access to and use of Sagacity Payroll, operated by Sagacity Solutions("we", "us", "our"). By creating an account or using the Service, you ("Customer", "you") agree to these Terms.

1. Account & eligibility

You must be at least 18 years old and have the legal authority to bind the entity on whose behalf you are signing up. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

2. Subscription & plans

Sagacity Payroll is offered on a subscription basis with five plans: Starter, Compliance Pro, HR Essentials, HR Professional, and Enterprise. Pricing and included modules are published at sagacitypayroll.com and in your order form. Unless otherwise stated, subscriptions auto-renew monthly or annually based on your billing cycle.

3. Payment

  • All fees are in INR (Indian Rupees) and exclusive of GST unless noted otherwise.
  • Payment is due on invoice date. Accepted methods: Razorpay (UPI / card / net banking), bank transfer.
  • Late payments (beyond 7 days of invoice date) may result in service suspension and interest at 1.5% per month on the overdue amount.
  • Applicable TDS shall be deducted by the Customer and a TDS certificate furnished.

4. Customer data & ownership

You retain all rights, title, and interest in data you upload ("Customer Data"). We act as a data processor under your instructions for employee HR and payroll data. We process Customer Data only to operate the Service, prevent fraud, and comply with law. See the Privacy Policy for full details.

5. Acceptable use

You agree NOT to use the Service to:

  • Violate any applicable law or regulation
  • Infringe any third party's intellectual property or privacy rights
  • Upload malware, viruses, or content that is unlawful, defamatory, or abusive
  • Reverse-engineer, decompile, or attempt to extract source code from the Service
  • Resell, sublicense, or provide the Service to third parties outside your organisation without our written consent
  • Exceed rate limits or attempt denial-of-service

6. Service level & support

  • Target uptime: 99.5% monthly, measured excluding scheduled maintenance.
  • Scheduled maintenance: announced at least 48 hours in advance, typically at night or weekends.
  • Support response times by plan:
    • Starter / Compliance Pro — email, response within 48 hours
    • HR Essentials / HR Professional — email + chat, response within 24 hours
    • Enterprise — dedicated account manager, priority response within 4 hours

7. Statutory compliance disclaimer

The Service automates generation of PF ECR, ESIC returns, TDS Form 24Q/16, and other statutory artefacts based on the data you supply. You remain legally responsible for the accuracy of inputs, final review, and timely filing with the respective authorities. Sagacity is not liable for penalties arising from incorrect data, missed deadlines, or external portal outages.

8. Intellectual property

Sagacity Payroll, its logos, software, and documentation are owned by Sagacity Solutions. We grant you a non-exclusive, non-transferable, non-sublicensable right to use the Service during your subscription period.

9. Confidentiality

Each party agrees to protect the other's confidential information with at least the same degree of care it uses for its own. Confidential information does not include information that is publicly known or was independently developed.

10. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service is limited to the fees paid by you in the 12 months preceding the claim. We shall not be liable for indirect, incidental, special, consequential, or exemplary damages, including loss of profits, goodwill, or data.

11. Indemnification

You agree to indemnify Sagacity against any third-party claim arising from (a) your breach of these Terms, (b) your Customer Data, or (c) your use of the Service in violation of law.

12. Termination

  • By you: You may cancel with 30 days' written notice. Fees paid for the current billing period are non-refundable unless stated in the Refund Policy.
  • By us: We may suspend or terminate access for non-payment, violation of these Terms, or if required by law. We will provide 7 days' notice except for material breach or legal compulsion.
  • Data export: For 30 days after termination, you can export Customer Data in CSV/JSON format. After that, we delete Customer Data subject to statutory retention requirements (see Privacy Policy §7).

13. Governing law & dispute resolution

These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra. Before filing any suit, the parties shall attempt to resolve disputes through good-faith negotiation for 30 days.

14. Changes to these Terms

We may revise these Terms. Material changes will be notified via email and a homepage banner at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
